Welcome to XNERGS by Sunshine (“XNERGS”, “Company”, “we”, “our”, “us”).
These Terms & Conditions govern your use of:

- Our solar EPC services
- EV charging installations
- Commercial & industrial solar projects
- Subsidy processing assistance
- Net metering support
- Communication through RCS, WhatsApp, SMS, Email
By accessing our website or availing our services, you agree to be bound by these Terms.
2. Scope of Services
XNERGS provides:
- Rooftop Solar EPC (Residential, Commercial, Industrial)
- On-Grid, Hybrid & Off-Grid systems
- EV Charging Solutions
- Solar Structure Fabrication & Installation
- Solar Site Surveys & Feasibility Reports
- Subsidy Assistance (PM Surya Ghar, GEDA)
- Net Metering Documentation Support
- Operation & Maintenance (O&M)
Final system design may vary based on site conditions and regulatory approvals.
3. Quotations & Pricing
- All quotations are valid for a limited period (as mentioned in the proposal).
- Prices are subject to change due to:
- Raw material cost fluctuations
- Government policy changes
- Subsidy revisions
- Site condition variations
- Taxes (GST or other applicable taxes) will be charged as per prevailing laws.
A signed quotation or advance payment confirms acceptance of pricing terms.
4. Payment Terms
Unless otherwise agreed in writing:
- Advance payment is required before material procurement.
- Balance payment is due before commissioning or as per agreed milestone schedule.
- Delayed payments may attract interest charges.
- Subsidy amounts (if applicable) are subject to government release timelines.
XNERGS is not responsible for delays in government subsidy disbursement.
5. Government Subsidy Disclaimer
XNERGS assists customers with subsidy applications under:
- PM Surya Ghar Scheme
- Goa Energy Development Agency (GEDA)
- Other applicable schemes
However:
- Approval is subject to government eligibility criteria.
- Subsidy policies may change without notice.
- Final subsidy approval rests solely with the government authority.
XNERGS does not guarantee subsidy approval.
6. Site Conditions & Structural Responsibility
- The client is responsible for structural safety of the building.
- XNERGS may recommend structural assessment where necessary.
- Hidden defects (roof cracks, weak slabs, corrosion) are not the liability of XNERGS unless caused directly by installation negligence.
7. Installation Timeline
Project timelines depend on:
- Advance payment clearance
- Material availability
- Weather conditions
- Government approvals
- DISCOM inspection schedules
Delays caused by regulatory authorities or force majeure events shall not constitute breach of contract.
8. Warranty Terms
A. Solar Panels
Covered under manufacturer warranty (typically 25 years performance warranty).
B. Inverters
Covered under manufacturer warranty (as per brand policy).
C. Installation Workmanship
Workmanship warranty as specified in the project agreement.
Warranty excludes:
- Physical damage
- Fire, flooding, lightning beyond designed protection
- Unauthorized modifications
- Improper third-party interference
9. Net Metering & Grid Connectivity
- Grid connectivity is subject to DISCOM approval.
- XNERGS assists in documentation but cannot control final approval timelines.
- Customer must provide accurate documents and signatures on time.
10. Limitation of Liability
To the maximum extent permitted by law:
- XNERGS shall not be liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed the amount paid by the customer for the specific project.
11. Force Majeure
XNERGS shall not be held liable for delays or failure due to:
- Natural disasters
- Government restrictions
- Strikes or labor disputes
- Supply chain disruptions
- Pandemic-related restrictions
- Electrical grid instability
12. Intellectual Property
All:
- Designs
- Layouts
- Engineering drawings
- SLDs
- Marketing materials
- Website content
Remain the intellectual property of XNERGS unless otherwise agreed in writing.
Unauthorized reproduction is prohibited.
13. Communication & Marketing Consent
By providing contact details, you consent to receive:
- Project updates
- Installation schedules
- Maintenance reminders
- Promotional communications
You may opt out at any time.
14. Cancellation Policy
- Cancellation after material procurement may incur charges.
- Custom-fabricated structures are non-refundable.
- Advance payments may be partially adjusted against incurred expenses.
Detailed cancellation terms may be included in project agreements.
15. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
All disputes shall be subject to the jurisdiction of courts in Goa, India.
16. Amendments
XNERGS reserves the right to modify these Terms at any time. Updated versions will be published on the website.
